Distance Sales Agreement

The agreement that applies when you subscribe online.

This agreement is concluded electronically between the Seller and the Buyer at the moment an order is placed through this website, and governs the sale of a software subscription at distance.

1. Parties

Seller

Buyer

The individual or company whose name, address, email and phone number are submitted in the order form, and to whom the invoice is issued.

2. Subject of the Agreement

The subject of this agreement is the Buyer's subscription to the HMS Flow cloud-based hotel management platform, ordered electronically, and the parties' rights and obligations arising from it. The service is delivered entirely online; no physical product is shipped.

3. Service, Price & Payment

  • The plan, the billing period and the total price including taxes are shown on the order screen before payment and are confirmed in the order email.
  • Payment is made by credit or debit card through a licensed payment provider, over an encrypted connection with 3D Secure verification. Card details are not stored on our servers.
  • The subscription renews for the same period unless it is cancelled before the renewal date. Price changes are announced at least 30 days in advance and never apply to a period already paid for.

4. Delivery

Account credentials are issued to the Buyer's email address as soon as payment is confirmed, and the service is available immediately from that point. Delivery details are set out in the Delivery & Service Terms.

5. Right of Withdrawal

The Buyer may withdraw within 14 days of the start of a paid subscription, provided the service has not been substantially used. Because the service is digital content supplied immediately, the right of withdrawal ends once the platform has been actively used beyond set-up. Withdrawal and refund conditions are set out in full in the Refund & Cancellation Policy.

6. Obligations of the Parties

  • The Seller provides the service in line with the selected plan, keeps the platform secure and available, and notifies the Buyer of planned maintenance in advance.
  • The Buyer supplies accurate account and billing information, keeps login credentials confidential and uses the service lawfully.

7. Confidentiality & Data Protection

Guest and operational data entered into the platform belongs to the Buyer. It is processed only to deliver the service and is handled as described in our Privacy Policy.

8. Disputes

The parties will first seek to resolve any dispute directly. Failing that, the courts and enforcement offices at the Seller's registered address have jurisdiction, without prejudice to any mandatory consumer rights the Buyer has where they live.

9. Entry Into Force

This agreement takes effect when the Buyer confirms the order electronically and the payment is approved. It is to be read together with the Terms of Service.
